Debater Revenue Share Agreement

Effective Date: This Agreement is effective as of the date you submit content for production consideration or receive your first revenue credit, whichever occurs first.

Preamble

DebatePro is a real-time structured debate platform operated by Tarheel Tactics LLC, a Delaware single-member limited liability company (“Company,” “we,” “us,” or “our”). We believe that competitive reasoning is a new form of content—one that deserves the same creator-economy infrastructure enjoyed by video, music, and live-streaming platforms. This Debater Revenue Share Agreement (“Agreement”) formalizes our commitment to sharing revenue with the creators who make DebatePro’s content ecosystem possible.

By submitting debate content or AI debater formats for production, or by accepting any revenue credit issued under this program, you (“Creator,” “you,” or “your”) agree to be bound by the terms below. This Agreement supplements—and is subject to—the DebatePro Terms of Service and Privacy Policy.

1. Program Overview

The DebatePro Creator Revenue Share Program (“Program”) enables eligible creators to earn revenue when their debate content or AI debater formats are selected for production, distribution, or promotional use by DebatePro. Inclusion in the Program is at the sole discretion of DebatePro and is evaluated on editorial quality, audience fit, compliance, and strategic alignment.

The Program reflects our conviction that structured debate is a viable content category. We invest in production, distribution, and audience development; creators invest in intellectual rigor, strategic preparation, and original AI persona design. Revenue sharing aligns these incentives.

Participation in the Program does not obligate DebatePro to publish, distribute, monetize, or continue distributing any submission. DebatePro may make debates viewable in-app (including free access) without creating any additional payment obligation except as expressly stated in Section 4.

2. Eligible Content Types

The following content categories may qualify for revenue sharing when selected for production:

  • Produced AI vs AI debates — debates between AI debater personas you have created, configured, or refined
  • Human vs AI matches — live debates in which you compete against an AI opponent
  • High-ranking human debates — human vs human debates that achieve notable rankings, judging scores, or community engagement
  • Recurring or viral debate series — thematic series, tournaments, or individual debates that generate sustained audience interest
  • AI debater formats and personas — original AI persona configurations, strategic templates, or prompt architectures that are adopted for platform-wide use or distribution

DebatePro reserves the right to expand or modify eligible content categories as the platform evolves. Any changes will be reflected in an updated version of this Agreement.

3. Creator Eligibility Requirements

To participate in the Program and receive payouts, you must satisfy each of the following:

  • Maintain a DebatePro account in good standing with no active suspensions, bans, or unresolved policy violations.
  • Ensure all submitted content complies with the DebatePro Terms of Service, Community Guidelines, and applicable moderation policies.
  • Complete all required identity verification, tax documentation (e.g., IRS Form W-9 for U.S. persons, W-8BEN for non-U.S. persons), and anti-fraud checks before any payout is issued.
  • Submit a completed Payment Authorization Form (see Section 7) designating your preferred payout method.
  • Be at least 18 years of age or the age of majority in your jurisdiction, whichever is greater.

4. Revenue Share Structure

Revenue share is calculated as a percentage of Qualified External Monetization Revenueattributable to your eligible content. Qualified External Monetization Revenue means gross cash receipts actually collected by DebatePro from: (a) monetization on third-party platforms, (b) external licensing transactions, or (c) external sponsorships, in each case where the monetization is expressly tied to a produced content asset that includes your eligible content.

For payout purposes, “Net Revenue” means Qualified External Monetization Revenue, less only:

  • Applicable sales, use, VAT/GST, and similar transaction taxes
  • Third-party payment processing, network, and remittance fees
  • Direct third-party distribution, hosting, delivery, and content-protection costs attributable to the monetized content
  • Documented chargebacks, refunds, payment disputes, and fraud losses
  • Amounts withheld where required by applicable tax or payments law

The specific revenue share percentage will be communicated to you at the time your content is selected for production. Rates may vary based on content type, distribution channel, exclusivity arrangements, and promotional commitments. DebatePro reserves the right to adjust standard rates with reasonable notice.

For clarity, Qualified External Monetization Revenue excludes:

  • In-app debate usage or viewing on DebatePro, whether free or paid
  • DebatePro subscriptions, memberships, in-app advertising, tips, virtual goods, or similar first-party platform revenue
  • General platform growth effects, including user acquisition, retention, engagement, or lifetime value increases
  • Internal testing, quality assurance, model tuning, moderation workflows, safety evaluations, or product development uses
  • Revenue from products or features not expressly designated by DebatePro as qualifying external monetization events

General corporate overhead not directly attributable to monetized content (e.g., general payroll, office expenses, and unrelated product development) is not treated as a deductible cost under this Section 4. DebatePro will provide a payout statement or dashboard summary showing gross receipts and deduction categories for each payout period.

DebatePro has no obligation to pursue or maintain third-party monetization for any content and may decide, in its sole discretion, to distribute content without monetization.

5. Revenue Credits and Payout Threshold

Revenue share earnings are reflected in your DebatePro account as creator revenue credits. Credits are bookkeeping entries used to track accrued compensation under this Agreement; they are not a consumer wallet, prepaid account, or payment instrument.

For active accounts, credits accumulate until they exceed the minimum standard payout threshold of $20.00 USD. Balances at or below the threshold roll forward to subsequent payout periods until the threshold is met.

Revenue credits are non-transferable, do not earn interest, and may not be sold, assigned, pledged, gifted, exchanged, or used to fund ads, purchases, or peer-to-peer transfers on or off the platform. DebatePro does not accept creator deposits into the Program.

Program funds flow is customer-to-DebatePro and then DebatePro-to-creator under this Agreement. DebatePro does not provide creator escrow, user-to-user remittance, or custodial wallet services through the Program.

6. Payout Timing and Schedule

Once your account is eligible, your balance exceeds the $20.00 USD threshold, and your Payment Authorization Form is on file, DebatePro will include your payable balance in its next regular monthly payout cycle and will generally initiate payout within 30 calendar days after month-end. For example, qualifying external monetization revenue attributed in March is generally paid by the end of April, provided all eligibility conditions are met.

DebatePro does not charge a creator withdrawal fee for standard payouts under this Program. Payouts may be delayed by holds, investigations, incomplete documentation, failed delivery, banking holidays, processor outages, force majeure, or legal requirements as described in Section 8. DebatePro will make reasonable efforts to communicate material delays.

7. Supported Payout Rails and Authorization

DebatePro supports the following payout methods:

  • ACH direct deposit (U.S. bank accounts)
  • International bank transfer through DebatePro-approved commercial payout providers, where available
  • Other commercial payout rails explicitly enabled by DebatePro in your account dashboard

Before your first payout can be processed, you must submit a Payment Authorization Form that designates your preferred payout method and provides the required account details. This form will be made available through your DebatePro account dashboard or can be requested by emailing info@tarheeltactics.com.

Important: Payouts cannot be initiated until a completed Payment Authorization Form is on file. If your form is missing, incomplete, or contains inaccurate information, payout will be delayed until the issue is resolved. You are responsible for keeping your payment details current. To update your preferred payout method, submit a revised Payment Authorization Form at any time.

Payout rails may vary by jurisdiction, entity type, sanctions restrictions, and processor requirements. DebatePro may add or remove supported payout methods at its discretion. If your selected method is unavailable or discontinued, we will notify you and request updated payment details.

Consumer peer-to-peer payment applications are not supported payout rails unless DebatePro expressly designates such a method for your account in writing.

DebatePro may require enhanced verification, sanctions screening, or fraud checks before releasing payouts and may reject or return payouts that fail provider validation.

8. Holds, Offsets, and Reversals

DebatePro may place temporary holds on, apply offsets to, or reverse revenue credits in any of the following circumstances:

  • Chargebacks, refunds, or payment disputes related to your content
  • Active fraud, abuse, or policy violation investigations
  • Unresolved intellectual property or content ownership claims
  • Incomplete or failed identity verification or tax documentation
  • Legal obligations, regulatory requirements, or court orders
  • Technical errors that resulted in incorrect credit amounts

Holds are temporary and will be released upon resolution of the underlying issue. If credits are reversed, DebatePro will provide written explanation to the extent permitted by law.

DebatePro may also delay, block, or refuse payouts where required to comply with anti-money laundering, sanctions, anti-fraud, or similar legal obligations.

9. Content Ownership, Assignment, and Licensing

You retain ownership of your original human-authored debate statements and performances, except for rights expressly assigned in this Section 9.

As between you and DebatePro, you hereby assign to DebatePro all right, title, and interest (including all intellectual property rights) in and to AI persona configurations, persona templates, prompt architectures, system instructions, behavioral profiles, and related metadata created for, submitted to, adapted for, or deployed on DebatePro under this Program, including all updates, refinements, derivative works, and platform-integrated instances (“AI Persona Assets”).

To the extent any AI Persona Asset cannot be assigned under applicable law, you grant DebatePro an exclusive, worldwide, perpetual, irrevocable, royalty-free, transferable, sublicensable license to use, reproduce, modify, distribute, publicly perform, display, and create derivative works from that AI Persona Asset for any lawful business purpose.

For creator-owned content not assigned above, you grant DebatePro a worldwide, non-exclusive, royalty-free (except as provided by this Agreement), sublicensable license to:

  • Edit, produce, package, and format selected content for distribution
  • Distribute content through DebatePro-owned channels, partner platforms, and syndication networks
  • Use content excerpts, highlights, and metadata for promotional and marketing purposes
  • Create derivative works such as compilations, highlight reels, or analytical breakdowns

DebatePro may allow users to instantiate, run, and debate against AI Persona Assets inside the platform, and may make debates viewable in-app without charge. Such in-app availability does not create additional compensation rights unless expressly provided in Section 4.

Rights granted under this Section 9 survive termination of this Agreement. You may request removal of unpublished creator-owned content that is not an AI Persona Asset by contacting info@tarheeltactics.com.

Nothing in this Agreement is intended to designate DebatePro as the creator of creator-provided inputs or to expand creator compensation rights beyond those expressly stated in this Agreement.

10. Creator Representations and Warranties

By participating in the Program, you represent and warrant that:

  • All content you submit is original or you have the necessary rights and permissions to submit it.
  • Your content does not infringe upon the intellectual property, privacy, or other rights of any third party.
  • All information you provide—including identity, tax, and payment details—is accurate and complete.
  • You are responsible for the lawfulness of prompts, persona instructions, source material, and other inputs you submit.
  • You will comply with all applicable laws and regulations in connection with your participation in the Program.

11. Tax Obligations

You are solely responsible for reporting and paying any taxes owed on revenue earned through the Program. DebatePro will issue applicable tax forms (e.g., IRS Form 1099-NEC for U.S. creators earning $600 or more in a calendar year) as required by law.

If you are subject to withholding requirements, DebatePro may withhold the applicable amount from your payouts as required by law and remit it to the appropriate tax authority.

12. Termination

Either party may terminate participation in this Program at any time. To opt out, email info@tarheeltactics.com with the subject line “Revenue Share Opt-Out.”

Upon termination, accrued and unpaid revenue credits will remain payable (including balances below the standard payout threshold) and will be paid within 60 calendar days where feasible, provided all eligibility conditions are met and no holds are in effect.

If payout cannot be completed because payment details are missing, invalid, or legally restricted, DebatePro may hold the payable amount, request updated information, and process the amount when permitted. Any unclaimed amounts will be handled in accordance with applicable unclaimed property or escheat laws.

DebatePro reserves the right to suspend or terminate your participation in the Program immediately for cause, including but not limited to fraud, material breach of this Agreement, or violation of the Terms of Service.

13. Limitation of Liability

To the maximum extent permitted by applicable law, DebatePro’s aggregate liability under this Agreement shall not exceed the total revenue credits actually paid to you in the twelve (12) months preceding the claim. DebatePro shall not be liable for indirect, incidental, consequential, or punitive damages arising from your participation in the Program.

14. Dispute Resolution

Any disputes arising under this Agreement shall be resolved in accordance with the dispute resolution provisions set forth in the DebatePro Terms of Service, including applicable arbitration and governing law clauses.

15. Modifications to This Agreement

We may modify this Agreement for operational, legal, regulatory, or business reasons. Material changes will be posted with an updated date at the top of this page and, where practicable, communicated via email or in-app notification. Continued participation in the Program after the effective date of a modification constitutes acceptance of the revised terms.

We aim to respond to all payment inquiries within 5 business days.

By submitting content for production or accepting revenue credits under this Program, you acknowledge that you have read, understood, and agree to be bound by this Debater Revenue Share Agreement.
